Terms of Service (Consumer) — JabalPay

These Terms of Service (the “Terms”) govern your access to and use of jabalpay.com and any related products and services provided by JabalPay Inc. (“JabalPay,” “we,” “us,” “our”). By creating an account, accessing, or using the Services, you agree to these Terms.

1) Who we are

2) Definitions

“Account” means your JabalPay user account.

“Services” means our website, apps (if any), and the consumer services we make available from time to time, including payment, transfer, conversion, and related features.

“You” means the individual using the Services.
3) Eligibility
You may use the Services only if:
-
you are at least 18 years old (or the age of majority where you live),
-
you have the legal capacity to enter into a binding contract, and
-
you are not located in, under the control of, or a resident of any restricted jurisdiction, and you are not a sanctioned person.
We may restrict or refuse service in certain countries, regions, or corridors at any time.
4) The Services
JabalPay provides consumer-facing financial technology services. The availability of features may depend on your location, verification status, risk checks, and partner coverage.
Important: We may use third-party providers (including banking, payment rails, compliance, identity verification, and infrastructure providers) to deliver parts of the Services.
No cards: We do not currently issue payment cards. If we ever introduce cards, separate terms may apply.
5) Account registration and verification (KYC)
To access certain features, you must create an Account and provide accurate information. You agree to:

provide complete and truthful information,
-
keep your information up to date, and
-
complete identity and/or business verification (KYC/KYB) when requested.
We may request additional information at any time for compliance, fraud prevention, or risk management. If you do not provide required information, we may suspend or close your Account.
6) Security and your responsibilities
You are responsible for:
-
maintaining the confidentiality of your login credentials,
-
using strong passwords and enabling security features when available, and
-
notifying us immediately of unauthorized access or suspicious activity (email [email protected]).
You are responsible for all activity that occurs through your Account, unless prohibited by law.
7) Fees, pricing, and limits
Fees, FX rates, and limits may apply and may vary by product, corridor, payment method, and risk tier. We will disclose applicable fees and pricing before you complete a transaction (and/or on our Fees & Pricing Disclosure page).
You authorize us to deduct applicable fees from the transaction amount where permitted.
8) Transactions and execution
When you submit a transaction request, you authorize JabalPay and our partners to process it.
You understand and agree that:

processing times may vary due to compliance checks, partner cutoffs, network conditions, weekends/holidays, and other operational factors,
-
transactions may be delayed, held, reviewed, or cancelled where required for compliance or risk reasons, and
-
you are responsible for ensuring recipient details (including bank details or wallet addresses) are correct.
If you send funds to an incorrect recipient or provide incorrect information, you may lose funds and we may not be able to recover them.
9) Reversals, refunds, cancellations, and chargebacks
Refunds, cancellations, and chargebacks are governed by our Refunds, Cancellations & Chargebacks Policy.
In general:

Some transactions may be final once submitted or once they reach certain processing stages.

Refunds may be subject to verification, compliance checks, and partner constraints.

Chargeback rights (if any) depend on the payment method used and applicable rules.
10) Compliance: AML/CTF, sanctions, and prohibited use
You agree not to use the Services for any illegal purpose or in violation of applicable laws, including anti-money laundering, counter-terrorist financing, and sanctions laws.
You must not use the Services to:
-
engage in fraud, scams, or deceptive activity,
-
facilitate money laundering, terrorist financing, or sanctions evasion,
-
transact with sanctioned persons or restricted jurisdictions,
-
engage in activity prohibited by our Acceptable Use and Prohibited Transactions / Sanctions & Restricted Countries policies.
We may monitor, screen, and review activity, and we may report suspicious activity to relevant authorities where required.
11) Partner services and third-party links
Some features depend on third-party services. We are not responsible for third-party websites, services, or outages that are outside our control.
Where a third party’s terms apply to a component of the Services, you may be required to accept those terms to use that component.
12) Risk notice
Financial services involve risk. Depending on the product and corridor, risks can include:

settlement delays, reversals, or holds,
-
FX rate movements,
-
counterparty/partner outages, and
-
blockchain or wallet-address risks (if digital assets are involved).

13) Communications and notices
By using the Services, you consent to receive communications electronically (including account notices, disclosures, and updates) via the Services and/or by email. For questions, contact [email protected].
(If we publish a separate Electronic Communications & E-Sign Consent page, it is incorporated into these Terms by reference.)
14) Intellectual property
The Site, Services, and all related content, trademarks, and software are owned by or licensed to JabalPay and are protected by applicable intellectual property laws.
You may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to extract source code from any part of the Services, except where permitted by law.
15) Suspension and termination
We may suspend, restrict, or terminate your access to the Services (including freezing or holding transactions) if we reasonably believe:
-
you violated these Terms or our policies,
-
your activity poses fraud, compliance, or security risk,
-
we are required to do so by law or by a regulator, or
-
we cannot verify your identity or information.
You may stop using the Services at any time. Certain obligations (including compliance-related recordkeeping and reporting) may continue after termination as required by law.
16) Disclaimers
The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, JabalPay disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Services will be uninterrupted, error-free, or free of harmful components.
17) Limitation of liability
To the maximum extent permitted by law:
-
JabalPay will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities.

JabalPay’s total liability for any claim relating to the Services will not exceed the total fees you paid to JabalPay for the specific transaction(s) giving rise to the claim, or CAD $100, whichever is greater, unless a higher amount is required by law.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
18) Indemnity
You agree to indemnify and hold harmless JabalPay and its directors, officers, employees, and agents from claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any law or third-party rights.
19) Governing law
These Terms are governed by the laws of Ontario, Canada, and applicable federal laws of Canada, without regard to conflict of laws principles.
20) Disputes and complaints
If you have an issue, contact [email protected] first. Our complaints handling process is described in our Complaints & Dispute Resolution Policy, which is incorporated by reference.
21) Changes to these Terms
We may update these Terms from time to time. If we make changes, we will update the “Last updated” date and post the revised Terms on the Site. Material changes may be communicated through the Services or by email. Your continued use of the Services after changes become effective means you accept the updated Terms.
22) Miscellaneous

Entire agreement: These Terms and any referenced policies form the entire agreement between you and JabalPay regarding the Services.

Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.

No waiver: Failure to enforce a provision is not a waiver.

Assignment: You may not assign these Terms without our consent. We may assign them as part of a corporate transaction.
